Hint Terms & Conditions

Home Hub Labs, Inc.

Last Updated: June 2, 2026

Introduction

These Terms & Conditions (“Terms”) of Home Hub Labs, Inc. (“HINT Home,” “HINT,” “we,” “our,” or “us”) govern your access to and use of: our website(s), including www.hinthome.com and any successor URLs (the “Sites”); our companion mobile applications (the “Apps”); related software, documentation, and online, mobile-enabled, and digital services; and products and merchandise available for purchase on the Sites (collectively, the “Service”). By accessing or using the Sites or Apps, clicking “I Agree” (or a similar button), or creating an account or signing up for the Service, you confirm that you have read, understood, and agree to be bound by these Terms, and that you have read and understood our Privacy Policy (see Section 10.1). We reserve the right to modify these Terms and will provide notice of material changes as described below. These Terms apply to all visitors, users, and others who access the Service (collectively, “Users,” and, as applicable to you, “you” or “your”).

PLEASE READ THESE TERMS CAREFULLY.

THESE TERMS CONTAIN A MANDATORY INDIVIDUAL ARBITRATION PROVISION IN SECTION 17.2 (THE “ARBITRATION AGREEMENT”) AND A CLASS ACTION/JURY TRIAL WAIVER IN SECTION 17.3 THAT REQUIRE, UNLESS YOU OPT OUT AS PERMITTED, THE EXCLUSIVE USE OF FINAL AND BINDING ARBITRATION ON AN INDIVIDUAL BASIS TO RESOLVE DISPUTES BETWEEN YOU AND US, INCLUDING CLAIMS THAT AROSE OR WERE ASSERTED BEFORE YOU AGREED TO THESE TERMS. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU EXPRESSLY WAIVE YOUR RIGHT TO SEEK RELIEF IN A COURT OF LAW, TO HAVE A JURY TRIAL, AND TO PARTICIPATE AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, COLLECTIVE, PRIVATE ATTORNEY GENERAL, OR REPRESENTATIVE ACTION OR PROCEEDING.

1. How We Administer the Service

1.1 Eligibility

These Terms form a binding contract between you and HINT Home. You must read and agree to these Terms before using the Service. If you do not agree, you may not use the Service.

You may use the Service only if you can form a legally binding contract with us and only in compliance with these Terms and all applicable local, state, national, and international laws, rules, and regulations (“Applicable Law”). You must be at least 18 years old to use the Service. Any use of the Service by a person under the age of 18 in any applicable jurisdiction (a “Minor”) is strictly prohibited unless supervised by a parent or legal guardian (a “Parent”) who: (a) has read and understands these Terms; (b) approves all rights granted and obligations undertaken by the Minor; and (c) agrees to be bound by these Terms on behalf of the Minor. If you are a Parent of a Minor User, by allowing that Minor to access or use the Service, you are subject to these Terms and responsible for that Minor’s activity. References to “you” in the context of a license grant, restriction, obligation, or warranty mean “the Parent, on behalf of the Parent and the Minor.”

1.2 User Accounts

(a) Your User Account. Your account on the Service (“User Account”) gives you access to certain services and functionalities that we may establish and maintain as part of the Service from time to time, in our sole discretion. You do not own your User Account, and you have no rights to data stored by or on behalf of HINT Home on the servers running the Service. We may maintain different types of User Accounts for different categories of Users.

(b) Connecting Via Third-Party Services. By connecting to the Service through a third-party service, you authorize us to access and use your information from that service (as permitted by the third-party service) and to store your log-in credentials and/or access tokens for that service.

(c) Account Security. You may not use another User’s User Account without that User’s permission. When creating your User Account, you must provide accurate and complete information and keep it up to date. You are solely responsible for all activity on your User Account. You must keep your password(s) and other authentication credentials secure and must not share them with anyone. We encourage the use of strong passwords (combining upper- and lower-case letters, numbers, and symbols). We will not be liable for any losses caused by unauthorized use of your User Account. You must notify us immediately of any security breach or unauthorized use of your User Account.

(d) Account Settings. You may control certain aspects of your User Account and profile by visiting your settings page or emailing [email protected]. By providing us with your email address, you consent to our using it to send Service-related notices (including any notices required by Applicable Law) in lieu of postal mail. We may also use your email address to send marketing and advertising messages, such as notifications about Service changes, deals, and special offers (“Marketing Emails”). If you do not want to receive Marketing Emails, you may opt out by contacting us at [email protected] or by clicking “unsubscribe” in any Marketing Email. Opting out will not prevent you from receiving Service-related notices.

1.3 Changes, Suspension, and Termination

You may deactivate your User Account at any time. We may, with or without prior notice: change the Service; stop providing the Service or any feature thereof to you or to Users generally; or create usage limits for the Service. We may also permanently terminate or temporarily suspend your access to your User Account and/or the Service, without liability, with or without cause and for any or no reason, including if, in our sole determination, you violate any provision of these Terms. Upon any termination of these Terms, you remain bound by those provisions that by their nature should survive termination.

1.4 Your Interactions with Other Users

YOU ARE SOLELY RESPONSIBLE FOR YOUR INTERACTIONS, INCLUDING SHARING OF INFORMATION, WITH OTHER USERS. WE RESERVE THE RIGHT, BUT HAVE NO OBLIGATION, TO MONITOR DISPUTES BETWEEN YOU AND OTHER USERS. WE EXPRESSLY DISCLAIM ALL LIABILITY ARISING FROM YOUR INTERACTIONS WITH OTHER USERS AND FOR ANY USER’S ACTION OR INACTION, INCLUDING IN CONNECTION WITH USER CONTENT (AS DEFINED BELOW).

2. Access to the Service; Service Restrictions

2.1 Access to the Service

Subject to your compliance with these Terms and any documentation we make available to you, we grant you a non-exclusive, limited, non-transferable, freely revocable right to access and use the Service solely for your personal use and strictly as permitted by the Service’s features. We reserve all rights not expressly granted herein. Certain portions of the Service may be available only during the applicable Subscription Term(s) (as defined below), as further described in Section 9 (Payments, Billing, and Subscription Plans).

2.2 Restrictions and Acceptable Use

Except to the extent prohibited by Applicable Law, you will not, and will not assist, permit, or enable any third party to, do any of the following:

(a) disassemble, reverse engineer, decode, or decompile any part of the Service;

(b) use any robot, spider, scraper, off-line reader, data mining or extraction tool, or other automated means to access the Service in a manner that sends more requests to the servers than a human can reasonably produce in the same period using a conventional web browser (except that HINT grants operators of public search engines revocable permission to use spiders to copy publicly available materials from the Service solely to create publicly available searchable indices, not caches or archives, of such materials, as specified in the applicable robots.txt file);

(c) use any content available on or through the Service (including caption information, keywords, imagery, or other metadata) for machine learning, artificial intelligence training or development, or for technologies designed to identify natural persons;

(d) copy, rent, lease, sell, loan, transfer, assign, sublicense, resell, distribute, modify, alter, or create derivative works of any part of the Service or any of our Intellectual Property (as defined below), including by automated or non-automated scraping;

(e) use the Service in any manner that impacts: (i) the stability of the servers running the Service; (ii) the operation or performance of the Service or any User’s use thereof; or (iii) the behavior of other applications using the Service;

(f) take any action that imposes, or may impose (as determined by us in our sole discretion), an unreasonable or disproportionately large load on our infrastructure;

(g) use the Service in any manner or for any purpose that: (i) violates, or promotes the violation of, any Applicable Law, contractual obligation, or right of any person, including Intellectual Property Rights (as defined below), privacy rights, and/or rights of personality; (ii) is fraudulent, false, deceptive, or defamatory; (iii) promotes hatred, violence, or harm against any individual or group; or (iv) is otherwise harmful or objectionable (in our sole discretion) to us, our providers, our suppliers, Users, or any other third party;

(h) use or display the Service in competition with us, to develop competing products or services, for benchmarking or competitive analysis, or otherwise to our detriment or disadvantage;

(i) access any content on or through the Service by any technology or means other than those provided or authorized by us;

(j) bypass any measures we use to prevent or restrict access to the Service, including features that prevent copying of content or that enforce limitations on use of the Service;

(k) attempt to interfere with, compromise the system integrity or security of, or decipher any transmissions to or from the servers running the Service;

(l) use the Service to transmit spam, chain letters, or other unsolicited communications;

(m) use the Service for any commercial solicitation purposes;

(n) transmit invalid data, viruses, worms, or other malicious software agents through the Service;

(o) impersonate another person or entity, misrepresent your affiliation with a person or entity, conceal your identity, or use the Service for any invasive or fraudulent purpose;

(p) collect or harvest any personal information, including Users’ names, from the Service; or

(q) identify or refer to us or to the Service in any manner that could reasonably imply an endorsement, affiliation, or sponsorship between you (or a third party) and us, without our prior express written consent.

3. Referral Awards Program

We may offer rewards from time to time, including referral program awards, paid out in various forms such as gift cards, store credit, in-app rewards, in-app points, or cash. Participation in any such program is subject to additional terms that will be presented to you at the time you sign up for such program.

4. User Content

4.1 General

The Service may allow Users to submit, post, display, provide, share, or otherwise make available content such as profile information, videos, images, music, comments, questions, and other content, data, or information (collectively, excluding Usage Data and Feedback as each is defined below, “User Content”).

4.2 Rights to User Content

We claim no ownership rights over User Content. As between you and us, all User Content you submit, post, display, provide, share, or otherwise make available on or through the Service remains yours. Certain Service features may allow other Users to view, edit, share, or otherwise interact with your User Content. We have the right (but not the obligation) to remove any User Content at our sole discretion.

By submitting, posting, displaying, providing, sharing, or otherwise making available any User Content on or through the Service, you grant, and represent and warrant that you have all rights necessary to grant, HINT a fully paid, royalty-free, transferable, perpetual, irrevocable, non-exclusive, worldwide license (with the right to sublicense) to use, copy, reproduce, store, modify, publish, edit, translate, distribute, syndicate, publicly perform, publicly display, and make derivative works of such User Content (including your name, voice, and likeness as contained in your User Content), in whole or in part, in any form, media, or technology now known or hereafter developed, for use in connection with the Service and HINT’s (and its subsidiaries’ and affiliates’) business, including for promoting and redistributing the Service in any media formats and through any media channels. You also grant each other User a non-exclusive license to access your User Content through the Service and to use, reproduce, distribute, display, edit, perform, and otherwise interact with it in accordance with the Service’s features and these Terms.

4.3 User Content Representations and Warranties

In connection with your User Content, you affirm, represent, and warrant that:

(a) you have the written consent of each identifiable natural person referred to or depicted in the User Content to use that person’s name, voice, and likeness in the manner contemplated by the Service and these Terms, and each such person has released you from any resulting liability;

(b) you have obtained, and are solely responsible for obtaining, all consents required by Applicable Law to post User Content relating to third parties;

(c) your User Content and our use thereof as contemplated by these Terms will not violate any Applicable Law or infringe any third-party right, including Intellectual Property Rights and privacy rights;

(d) your User Content does not include any information that a governmental body deems sensitive or classified, and your submission of User Content does not violate any third-party confidentiality obligation;

(e) your User Content does not include: nudity or sexually suggestive content; hate speech, threats, or direct attacks on any individual or group; abusive, harassing, tortious, defamatory, vulgar, obscene, libelous, or privacy-invading content; sexist, racially, ethnically, or otherwise discriminatory content; self-harm or excessive violence; fake or impostor profiles; illegal content or content that furthers harmful or illegal activities; malicious programs or code; any person’s personal information without that person’s consent; spam, machine-generated content, or unsolicited messages; or otherwise objectionable content; and

(f) to the best of your knowledge, all User Content and other information you provide to us is truthful and accurate.

4.4 Disclaimer

WE TAKE NO RESPONSIBILITY AND ASSUME NO LIABILITY FOR ANY USER CONTENT. YOU ARE SOLELY RESPONSIBLE FOR YOUR USER CONTENT AND FOR THE CONSEQUENCES OF SUBMITTING, POSTING, DISPLAYING, PROVIDING, SHARING, OR OTHERWISE MAKING IT AVAILABLE ON OR THROUGH THE SERVICE. WE ACT ONLY AS A PASSIVE CONDUIT FOR YOUR ONLINE DISTRIBUTION AND PUBLICATION OF USER CONTENT. THE SERVICE MAY EXPOSE YOU TO CONTENT THAT IS INACCURATE, OBJECTIONABLE, INAPPROPRIATE FOR CHILDREN, OR OTHERWISE UNSUITED TO YOUR PURPOSE, AND WE WILL NOT BE LIABLE FOR ANY DAMAGES YOU ALLEGE TO INCUR AS A RESULT OF OR RELATING TO ANY CONTENT ACCESSED ON OR THROUGH THE SERVICE.

5. Our Intellectual Property

5.1 Intellectual Property Rights Defined

“Intellectual Property Rights” means all patent rights, copyright rights, mask work rights, moral rights, rights of personality, trademark, trade dress and service mark rights, goodwill, trade secret rights, and all other intellectual property and proprietary rights that now exist or may hereafter come into existence, together with all applications, registrations, renewals, and extensions thereof, under Applicable Law.

5.2 HINT Intellectual Property

We (or our licensors, including other Users, as applicable) own and will continue to own all rights (including Intellectual Property Rights), title, and interest in and to: the Service; all materials and content displayed or made available on or through the Service (including images, text, graphics, illustrations, logos, photographs, audio, videos, music, and User Content belonging to other Users, but excluding your User Content); and all software, algorithms, code, technology, and intellectual property underlying or included in or with the Service (collectively and individually, “Intellectual Property”). Except as expressly provided in these Terms, nothing herein creates a license in or under any Intellectual Property Rights. You will not access, sell, license, rent, modify, distribute, copy, reproduce, transmit, display, perform, publish, adapt, edit, or create derivative works of any Intellectual Property. Any use of Intellectual Property for a purpose not expressly permitted by these Terms is strictly prohibited.

5.3 Usage Data

We may collect — or you may provide us with — diagnostic, technical, usage, and related information, including information about your computers, mobile devices, systems, and software (collectively, “Usage Data”). All Usage Data is and will be owned solely and exclusively by us. To the extent any ownership rights in Usage Data vest in you, you hereby assign to us all rights (including Intellectual Property Rights), title, and interest in and to that data. We may use, maintain, and process Usage Data for any lawful purpose, including: (a) providing and maintaining the Service; (b) improving existing products and services and developing new ones; (c) monitoring your use of the Service; (d) research and analytics, including data analysis, usage trend identification, and customer research; and (e) sharing analytics or derived Usage Data with third parties solely in de-identified or aggregated form. The Service may include technological measures to prevent unauthorized or illegal use, and we may use these and other lawful measures to verify your compliance with these Terms and to enforce our Intellectual Property Rights.

5.4 Feedback

If you provide us with any suggestions, recommendations, or other feedback relating to the Service or any other HINT products or services (collectively, “Feedback”), you hereby assign to us all rights (including Intellectual Property Rights), title, and interest in and to that Feedback. We are free to use Feedback and any ideas, know-how, concepts, techniques, or other intellectual property contained in it, without attribution or compensation to you or any third party, for any purpose, though we are not required to use any Feedback. Feedback is deemed our Confidential Information (as defined below). By submitting Feedback, you acknowledge that we do not waive any right to use similar or related ideas that were previously known to us, developed by our employees, or obtained from other sources.

5.5 Virtual Achievements

The Service may include data, information, or content representing virtual achievements — such as reputational indicators, in-world currency, and fictional property (e.g., badges, trophies, and powers) (collectively, “Virtual Achievements”). Regardless of any terminology that may suggest otherwise, we solely and exclusively own all Virtual Achievements and reserve all rights to them, except that we grant you a non-exclusive, limited, non-transferable, freely revocable right to use certain Virtual Achievements as permitted by the Service’s features. Without limiting the foregoing: (a) Virtual Achievements are not redeemable for any monetary value from HINT; and (b) we have the absolute right to manage, regulate, control, modify, transfer, and/or delete Virtual Achievements at any time, in our sole discretion, without liability to you. NOTWITHSTANDING ANY VALUE ATTRIBUTED TO VIRTUAL ACHIEVEMENTS OR ANY OTHER DATA BY YOU OR BY ANY THIRD PARTY, ANY DATA, USER ACCOUNT HISTORY, AND USER ACCOUNT CONTENT ON THE SERVERS RUNNING THE SERVICE MAY BE ALTERED, TRANSFERRED, OR DELETED AT ANY TIME, FOR ANY REASON OR NO REASON, IN OUR SOLE DISCRETION, WITH OR WITHOUT NOTICE AND WITHOUT LIABILITY OF ANY KIND. WE DO NOT PROVIDE OR GUARANTEE, AND WE EXPRESSLY DISCLAIM, ANY VALUE — CASH OR OTHERWISE — ATTRIBUTED TO DATA RESIDING ON OUR SERVERS.

6. Confidential Information

The Service may include non-public, proprietary, or confidential information of HINT and/or other Users (“Confidential Information”). Confidential Information includes any information that should reasonably be understood to be confidential given its nature and the circumstances of disclosure, including non-public business, product, technology, and marketing information. You will: (a) protect and safeguard all Confidential Information with at least the same degree of care you would use for your own highly sensitive confidential information, but in no event less than a reasonable degree of care; (b) use Confidential Information only to exercise your rights or perform your obligations under these Terms; and (c) not disclose any Confidential Information to any person or entity, except to your service providers or financial or legal advisors who need to know the information and are bound by non-use and non-disclosure obligations at least as restrictive as those set forth in this Section.

7. DMCA Notice

We respect artists’ and content owners’ rights, and it is our policy to respond to alleged infringement notices that comply with the Digital Millennium Copyright Act of 1998 (as amended, “DMCA”).

If you believe your copyrighted work has been copied in a way that constitutes copyright infringement and is accessible through the Service, please notify our copyright agent in accordance with the DMCA. For your complaint to be valid under the DMCA, your written notice must include all of the following:

(a) an electronic or physical signature of a person authorized to act on behalf of the copyright owner;

(b) identification of the copyrighted work claimed to have been infringed;

(c) identification of the material claimed to be infringing and its location on the Service;

(d) contact information sufficient to permit us to reach you, such as your address, telephone number, and email address;

(e) a statement that you have a good faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or law; and

(f) a statement, made under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act on behalf of the owner.

The above information must be submitted to our DMCA Agent using the contact information set forth in the ‘Contact Us’ section below.

Under U.S. federal law, knowingly misrepresenting that online material is infringing may expose you to criminal prosecution for perjury and civil penalties, including monetary damages, court costs, and attorneys’ fees.

This procedure is exclusively for notifying HINT that your copyrighted material has been infringed. The requirements above are intended to comply with HINT’s rights and obligations under the DMCA (including 17 U.S.C. § 512(c)) and do not constitute legal advice. You may wish to consult an attorney regarding your rights and obligations under the DMCA and other Applicable Law.

In accordance with the DMCA and other Applicable Law, we have adopted a policy of terminating, in appropriate circumstances, Users who are deemed repeat infringers. We may also, at our sole discretion, limit access to the Service and/or terminate the User Accounts of any Users who infringe the Intellectual Property Rights of others, whether or not there is repeat infringement.

8. Our Publicity Rights

We may identify you as a User in our promotional materials. We will promptly stop doing so upon receipt of your written request sent to [email protected].

9. Payments, Billing, and Subscription Plans

9.1 Billing Policies; Taxes

Certain aspects of the Service are provided for free, while others, including certain products available on the Sites and/or Apps, are provided for a fee or other charge (“Fee”). Each Fee (including each Subscription Fee as defined below) consists of the applicable HINT Fee plus any applicable Third-Party Fees (each as defined below). By electing to use non-free aspects of the Service, including enrolling in a Subscription, you agree to the pricing and payment terms that may be presented to you at the time you decide to sign up to such paid services (“Pricing and Payment Terms”), which are incorporated by reference into these Terms.

We may add new products or services for additional Fees, modify Fees for existing products or services, or discontinue any Subscriptions at any time, in our sole discretion; provided, however, that if we have agreed to a specific Subscription Term and corresponding Subscription Fee, that Subscription will remain in force at that Subscription Fee for that Subscription Term. Any change to the Pricing and Payment Terms will take effect in the billing cycle following our notice of such change.

Except as expressly stated in these Terms or the Pricing and Payment Terms, all Fees must be paid in advance, payment obligations are non-cancelable once incurred (subject to any cancellation rights in these Terms), and Fees paid are non-refundable. Fees are stated exclusive of any taxes, levies, duties, or similar governmental assessments of any nature, including value-added, sales, use, and withholding taxes, assessable by any jurisdiction (“Taxes,” excluding taxes based on our net income). You are responsible for paying all Taxes associated with your purchases and/or Subscriptions.

9.2 Definitions

(a) “Subscription” means a particular portion of the Service available on an automatically renewing subscription basis.

(b) “Subscription Fee” means the recurring amount due as consideration for a Subscription.

(c) “Subscription Term” means the period during which a Subscription is in effect, as specified at the time of enrollment or as otherwise set forth in the applicable Pricing and Payment Terms.

(d) “HINT Fee” means the portion of the Fee (including any Subscription Fee) that HINT retains as consideration for providing the Service or any portion thereof.

(e) “Third-Party Fees” means the portion of the Fee (including any Subscription Fee) retained by one or more third parties, including the Payment Processor, that we may engage from time to time in our sole discretion.

(f) “Payment Processor” means the third-party payment processor we engage to process payments in connection with the Service.

9.3 Your Payment Method

(a) General. To use non-free aspects of the Service, you must provide at least one current, valid payment card accepted by us and by the Payment Processor (“Payment Method”). By providing a Payment Method, you authorize HINT and the Payment Processor to charge that Payment Method for applicable Fees and Taxes, including on a recurring basis until you cancel your Subscription (including any applicable notice period). Fees and Taxes will be charged on the payment date indicated in your User Account. Your payment date may change in certain circumstances (e.g., if your Payment Method has not successfully settled, if you change your Subscription plan, or if your Subscription began on a date not contained in a subsequent month). The length of your billing cycle depends on the type of Subscription you have enrolled in, if applicable. Fees are fully earned upon payment. We may authorize your Payment Method in anticipation of Service-related charges — including up to one month of service — as soon as you register.

(b) Third-Party Payment Processor. We or the Payment Processor may verify your Payment Method by processing an authorization hold, which is standard practice. To the extent the Payment Processor processes your payments, you are subject to the Payment Processor’s terms and conditions and privacy notice, each available on the Payment Processor’s website. The Payment Processor may collect and retain Third-Party Fees whenever you pay Fees. We do not view or store your full credit card or other Payment Method information. If any of your account, order, or Payment Method information changes, you must promptly update it so that we or the Payment Processor can complete your transactions and/or contact you as needed.

(c) Payment Representations and Warranties. You represent and warrant that: (i) all account, order, and Payment Method information you provide is true, accurate, correct, and complete; (ii) you are duly authorized to use the Payment Method(s); (iii) you will pay all charges incurred using your Payment Method, including applicable Fees and Taxes; (iv) charges incurred will be honored by your Payment Method company; (v) you will not allow or enable anyone else to use your Subscription (including by sharing passwords or authentication credentials or attempting to transfer your Subscription); and (vi) you will report to us any unauthorized or prohibited access to or use of your Subscription or credentials.

(d) Disclaimer. WE DISCLAIM ANY AND ALL LIABILITY WITH RESPECT TO, AND WE ARE NOT RESPONSIBLE FOR: (I) ANY SECURITY OR PRIVACY BREACHES RELATED TO YOUR PAYMENT METHOD; (II) ANY FEES CHARGED TO YOU BY YOUR BANK IN CONNECTION WITH THE COLLECTION OF FEES; OR (III) ANY UNAUTHORIZED USE OF YOUR CREDIT CARD, DEBIT CARD, OR OTHER PAYMENT METHOD BY A THIRD PARTY.

9.4 Promotional Offers

We may offer special promotional offers, plans, or memberships from time to time (“Promotional Offers”). Eligibility is determined by us in our sole discretion, and we reserve the right to revoke a Promotional Offer if we determine you are not eligible. We may use device ID, method of payment, email address, or other information to determine eligibility. Eligibility requirements and other limitations will be disclosed when you sign up for a Promotional Offer or in communications made available to you. Promotional Offers, including those relating to Subscriptions, are subject to change at any time.

10. Privacy; Data Security

10.1 Privacy

We care about your privacy. By using the Service, you acknowledge that we may collect, use, and disclose your personal information and aggregated and/or anonymized data as set forth in our Privacy Policy, and that your personal information may be transferred to and/or processed in the United States.

10.2 Security

We care about the integrity and security of your personal information. However, we cannot guarantee that unauthorized third parties will never be able to defeat our security measures or use your data for improper purposes. You acknowledge that you provide your data at your own risk.

11. Text Messaging and Calls

11.1 General

You may provide us with your telephone number when creating your User Account or otherwise. By providing a telephone number, you consent to receiving autodialed or prerecorded calls and/or text messages from us (or on our behalf) at that number. We may place such calls or send such texts to: (a) help keep your User Account secure through multi-factor authentication (“MFA”); (b) help you access your User Account if you experience difficulties; and/or (c) as otherwise necessary to service your account or enforce these Terms, our policies, Applicable Law, or any other agreement between you and us. MFA may involve HINT sending text messages containing security codes to your telephone number, and you agree to receive such texts.

11.2 Consent to Transactional Communications

You expressly consent to HINT contacting you using written, electronic, and/or verbal means, including manual dialing, emails, prerecorded or artificial-voice messages, and automatic telephone dialing systems, to call or text your mobile or cellular telephone number, as necessary to complete transactions you request and to service your account, and as permitted by Applicable Law, even if your number is registered on any U.S. federal or state Do-Not-Call or Do-Not-Email registry. Message and data rates apply. The text messages described in this Section are transactional, not promotional.

11.3 Consent to Promotional Messages

We also offer you the opportunity to enroll to receive recurring SMS/text messages from HINT, including account-related news and alerts and/or Promotional Offers (including cart reminders) and marketing related to HINT products and/or services. By enrolling, you agree to receive text messages from HINT at the mobile number you provide, and you certify that the number is accurate and that you are authorized to enroll it. You acknowledge that texts may be sent using an automatic telephone dialing system and that message and data rates apply. Message frequency varies. Consent is not required as a condition of purchase. To the extent permitted by Applicable Law, we are not responsible for any delays in sending or receiving text messages.

11.4 Unsubscribing From Promotional Messages

You may opt out of promotional text messages at any time by texting “STOP,” “QUIT,” “END,” “CANCEL,” or “UNSUBSCRIBE” to [insert number] from the receiving device, or by replying with one of those keywords to any promotional text message from HINT. Following such a request, you may receive one final text confirming your opt-out. For help, text “HELP” to [insert number] or contact us at [email protected].

12. Additional Terms

12.1 General

To use any App, you must have a compatible mobile device. HINT does not warrant that any App will be compatible with your mobile device. Your use of an App may consume mobile data and incur additional charges from your wireless provider; you are solely responsible for any such charges.

We grant you a non-exclusive, limited, non-transferable, freely revocable license to use a compiled-code copy of the App(s) under your User Account on one or more mobile devices owned or controlled solely by you (except to the extent Apple or Google permit any shared access to their respective iOS App or Android App), solely in accordance with these Terms. This license is not a sale of any App or any copy thereof. You may not: (a) modify, disassemble, decompile, or reverse engineer any App, except as expressly permitted by Applicable Law; (b) rent, lease, loan, resell, sublicense, distribute, or otherwise transfer any App to any third party, or use any App to provide time-sharing or similar services; (c) make copies of any App; (d) remove, circumvent, disable, damage, or otherwise interfere with security-related features of any App, features that prevent or restrict copying of content, or features that enforce use limitations; or (e) delete copyright or other proprietary rights notices from any App.

You acknowledge that we may issue upgraded versions of the Apps from time to time and may automatically electronically upgrade the version of the App on your mobile device. You consent to such automatic upgrades, and you understand that these Terms apply to all such upgrades. Any third-party code incorporated into an App is covered by the applicable open-source or third-party license, if any. We or our third-party partners or suppliers retain all right, title, and interest in and to the Apps. Any attempt to transfer or delegate any rights, duties, or obligations other than as expressly permitted by these Terms is void. We reserve all rights not expressly granted under these Terms.

12.2 iOS App

This Section applies to any App you acquire from the Apple App Store (“iOS App”). These Terms are solely between you and HINT, not Apple, Inc. (“Apple”), and Apple has no responsibility for the iOS App or its content. Your access to and use of the iOS App must comply with Apple’s then-current Apple Media Services Terms and Conditions and any applicable Volume Content Terms.

Apple has no obligation to furnish any maintenance or support services for the iOS App. In the event the iOS App fails to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any) to you. To the maximum extent permitted by Applicable Law, Apple will have no other warranty obligation with respect to the iOS App, and any other claims, losses, liabilities, damages, costs, or expenses attributable to any warranty failure will be governed solely by these Terms and Applicable Law.

Apple is not responsible for addressing any claims by you or any third party relating to the iOS App or your possession or use of it, including: (a) product liability claims; (b) any claim that the iOS App fails to conform to any legal or regulatory requirement; and (c) claims arising under consumer protection or similar legislation. In the event any third party claims that the iOS App, or your possession and use of it, infringes that third party’s intellectual property rights, HINT, not Apple, will be solely responsible for the investigation, defense, settlement, and discharge of any such claim, to the extent required by these Terms.

Apple and Apple’s subsidiaries are third-party beneficiaries of these Terms as they relate to your license of the iOS App, and upon your acceptance of these Terms, Apple will have the right to enforce these Terms against you as a third-party beneficiary.

12.3 Android App

The following applies to any App you acquire from the Google Play Store (“Android App”): (a) these Terms are between you and HINT only, not Google LLC or any affiliate (“Google”); (b) your access to and use of the Android App must comply with Google’s then-current Google Play Terms of Service; (c) Google is only a provider of the Google Play Store where you obtained the Android App; (d) HINT, not Google, is solely responsible for the Android App; (e) Google has no obligation or liability to you with respect to the Android App or these Terms; and (f) Google is a third-party beneficiary of these Terms as they relate to the Android App.

12.4 Acceptable Use of the App

When using the App, you agree to comply with any usage guidelines we communicate to you from time to time and with all Applicable Law. In addition to the restrictions set forth in Section 2.2, you may not access or use the App:

(a) for or in connection with any activity that constitutes or encourages a criminal offense, gives rise to civil liability, or otherwise violates any Applicable Law or industry standard, including laws and regulations governing intellectual property, privacy, defamation, fraud, mass email, spam, harassment, obscenity, hate speech, export control, consumer protection, data protection, unfair competition, false advertising, or any other deceptive practices;

(b) to upload, post, email, transmit, record, or otherwise make available any information or materials that infringe a third party’s rights (including privacy, publicity, and intellectual property rights) or that contain software viruses, Trojan horses, worms, or other malicious applications; or

(c) to engage in any activity that interferes with or disrupts the proper working of the App or any activities conducted on the App.

12.5 Changes and Availability

We will make reasonable efforts to keep the App running efficiently and accessible. However, the App’s operation depends on various factors, including software, hardware, and communication networks, that are not inherently fault-free. Accordingly, we do not warrant that the App will operate in an uninterrupted or error-free manner, and any such incidents will not constitute a breach of these Terms.

We may modify or enhance the App and may offer additional services and features, either free of charge or subject to additional fees. Additional services and features may be governed by additional or different terms. We may change the App’s structure, layout, design, or display, or the scope and availability of information and content within it, at any time and without prior notice. Such changes may result in glitches or temporary inconvenience. We will not be responsible for any outcome of these changes or for failures resulting from them.

12.6 Updates

HINT has no obligation to provide updates, supplements, or add-on components to the Service or App. If HINT does provide any such updates (collectively, “Updates”), these Terms will apply to the Updates unless HINT provides additional terms, in which case those additional terms will govern the Updates. You agree that HINT may automatically check your version of the Service or App and may automatically send Updates to your device. HINT may add new features or remove existing features from the Service. HINT also reserves the right to discontinue your access to the Service and may, in its sole discretion, release subsequent versions of the Service and require you to obtain and use the most current version.

13. Your Use of Third-Party Services

The Service may contain links to, or certain functionalities may require use of, third-party sites, materials, and/or services not owned or controlled by us (collectively, “Third-Party Services”). If you use a Third-Party Service in connection with the Service, you are subject to and must comply with that third party’s terms and conditions. We do not endorse or assume any responsibility for any Third-Party Services. If you access a Third-Party Service from the Service or share User Content through any Third-Party Service, you do so at your own risk, and you understand that these Terms and our Privacy Policy do not apply to your use of any Third-Party Service. You expressly release us from any and all liability arising from your access to or use of any Third-Party Service.

Your dealings with, or participation in promotions of, advertisers found on the Service — including payments, delivery of goods, and any other terms such as warranties — are solely between you and those advertisers. We are not responsible for any loss or damage of any kind relating to your dealings with such advertisers.

14. Indemnity

You will defend, indemnify, and hold harmless HINT and its subsidiaries and affiliates, and their respective agents, suppliers, licensors, employees, contractors, officers, and directors (collectively, “HINT Indemnitees”) from and against any and all claims, damages (whether direct, indirect, incidental, consequential, or otherwise), obligations, losses, liabilities, costs, debts, and expenses (including attorneys’ fees) arising from: (a) your access to or use of the Service; (b) your violation of any term of these Terms, including any breach of your representations and warranties; (c) your violation of any third-party right, including any privacy right or Intellectual Property Right; (d) your violation of any Applicable Law; (e) User Content submitted via your User Account, including any misleading, false, or inaccurate information; (f) your willful misconduct; or (g) any third party’s access to or use of the Service using your username(s), password(s), or other authentication credentials.

15. No Warranty; Disclaimers

THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. YOUR USE OF THE SERVICE IS AT YOUR OWN RISK. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE, THE INTELLECTUAL PROPERTY, AND ANY OTHER INFORMATION AVAILABLE ON OR THROUGH THE SERVICE ARE PROVIDED WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND/OR NON-INFRINGEMENT. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED BY YOU FROM US OR THROUGH THE SERVICE WILL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS.

Without limiting the foregoing, none of the HINT Indemnitees warrants that: any content or information on or available through the Service is accurate, comprehensive, reliable, useful, or correct; the Service will meet your requirements; the Service will be available at any particular time or location, uninterrupted, or secure; any defects or errors in the Service will be corrected; or the Service is free of viruses or other harmful components. Any content downloaded or otherwise obtained through the Service is obtained at your own risk; you are solely responsible for any resulting damage to your device(s) or loss of data.

Product images and descriptions on the Service may not appear accurate depending on your device, and there may be errors, inaccuracies, or omissions relating to product descriptions, pricing, and/or availability. We do not guarantee the accuracy or completeness of all information on the Service.

HINT does not warrant, endorse, guarantee, recommend, or assume responsibility for any product or service advertised or offered by any third party through the Service or any hyperlinked website, and HINT is not a party to, and will not monitor, any transaction between you and third-party providers of products or services.

U.S. federal law and some states, provinces, and other jurisdictions do not allow exclusion of or limitations on certain implied warranties, so the above exclusions and limitations may not apply to you. These Terms give you specific legal rights, and you may have additional rights that vary by jurisdiction. The disclaimers, exclusions, and limitations in these Terms will not apply to the extent prohibited by Applicable Law.

16. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NO HINT INDEMNITEE WILL BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, OR DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO THE USE OF, OR INABILITY TO USE, THE SERVICE OR ANY PORTION THEREOF. UNDER NO CIRCUMSTANCES WILL WE BE RESPONSIBLE FOR ANY DAMAGE, LOSS, OR INJURY RESULTING FROM HACKING, TAMPERING, OR OTHER UNAUTHORIZED ACCESS TO OR USE OF THE SERVICE OR YOUR USER ACCOUNT OR THE INFORMATION CONTAINED THEREIN.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE ASSUME NO LIABILITY OR RESPONSIBILITY FOR: (a) ERRORS, MISTAKES, OR INACCURACIES OF CONTENT; (b) PERSONAL INJURY OR PROPERTY DAMAGE OF ANY NATURE RESULTING FROM YOUR ACCESS TO OR USE OF THE SERVICE; (c) UNAUTHORIZED ACCESS TO OR USE OF THE SERVERS RUNNING THE SERVICE AND/OR ANY PERSONAL INFORMATION STORED THEREIN; (d) INTERRUPTION OR CESSATION OF TRANSMISSION TO OR FROM THE SERVICE; (e) BUGS, VIRUSES, TROJAN HORSES, OR SIMILAR ITEMS TRANSMITTED TO OR THROUGH THE SERVICE BY ANY THIRD PARTY; (f) ERRORS OR OMISSIONS IN ANY CONTENT, OR ANY LOSS OR DAMAGE INCURRED AS A RESULT OF CONTENT POSTED, EMAILED, TRANSMITTED, OR OTHERWISE MADE AVAILABLE THROUGH THE SERVICE; AND/OR (g) YOUR DATA, USER CONTENT, OR DEFAMATORY, OFFENSIVE, OR ILLEGAL CONDUCT OF ANY THIRD PARTY.

IN NO EVENT WILL ANY HINT INDEMNITEE BE LIABLE TO YOU FOR ANY AMOUNT EXCEEDING THE GREATER OF: (I) THE AMOUNT YOU PAID TO US UNDER THESE TERMS; OR (II) ONE HUNDRED U.S. DOLLARS ($100.00). THIS LIMITATION APPLIES REGARDLESS OF THE LEGAL THEORY UNDERLYING THE CLAIM – WHETHER CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE – AND EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGE.

Some jurisdictions do not allow the exclusion of or limitations on incidental or consequential damages, so the above exclusions and limitations may not apply to you. The disclaimers, exclusions, and limitations of liability in these Terms will not apply to the extent prohibited by Applicable Law.

17. Governing Law, Arbitration, and Class Action/Jury Trial Waiver

17.1 Governing Law

These Terms are governed by the internal substantive laws of the State of North Carolina, without regard to its conflict of laws principles. The parties acknowledge that these Terms evidence a transaction involving interstate commerce. Notwithstanding the foregoing, the Federal Arbitration Act (9 U.S.C. §§ 1–16) (“FAA”) governs the interpretation and enforcement of the Arbitration Agreement in Section 17.2 and preempts all state laws (and laws of other jurisdictions) to the fullest extent permitted by Applicable Law. If the FAA is found not to apply to any issue arising from or relating to the Arbitration Agreement, that issue will be resolved under and governed by the law of the U.S. state where you live (if applicable) or the jurisdiction mutually agreed upon in writing by you and us. The United Nations Convention on Contracts for the International Sale of Goods is expressly excluded.

You agree to submit to the exclusive personal jurisdiction of the federal and state courts located in Charlotte, North Carolina for any actions for which we retain the right to seek injunctive or other equitable relief, including any provisional relief required to prevent irreparable harm, in a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of our data security, Confidential Information, or Intellectual Property Rights. You agree that Charlotte, North Carolina is the proper and exclusive forum for any appeals of an arbitration award, or for trial court proceedings in the event that the Arbitration Agreement is found unenforceable.

17.2 Arbitration Agreement — For Users in the United States

READ THIS SECTION CAREFULLY. IT REQUIRES BINDING ARBITRATION TO RESOLVE MOST DISPUTES AND LIMITS HOW YOU MAY SEEK RELIEF.

Any arbitration under this Section is governed by the Federal Arbitration Act (“FAA”); no state arbitration procedures law shall apply.

(a) Pre-Arbitration Notice and Negotiation. Before either party initiates arbitration, that party must send the other a written notice of the dispute. If you send such a notice to us, it must: identify your name and address (including email address); describe the nature and basis of your claim and the relief you seek, including the basis for any damages calculation; and be signed by you. If you have retained an attorney, you must identify the attorney and confirm that we have authority to disclose to that attorney any information relevant to resolving your claim. Both parties must negotiate in good faith to resolve the dispute for a period of sixty (60) days before initiating arbitration. Any applicable limitations period is tolled during this sixty-day period. Failure to comply with this paragraph is grounds for dismissal of any arbitration proceeding.

(b) Binding Arbitration. ALL CLAIMS WILL BE RESOLVED BY BINDING ARBITRATION RATHER THAN IN COURT, EXCEPT THAT EITHER PARTY MAY ASSERT CLAIMS IN SMALL CLAIMS COURT IF THE CLAIM IS PROPERLY WITHIN THAT COURT’S JURISDICTION. THERE IS NO JUDGE OR JURY IN ARBITRATION, AND COURT REVIEW OF AN ARBITRATION AWARD IS LIMITED.

(c) Arbitration Administration. The arbitration will be administered by the American Arbitration Association (“AAA”) under its then-applicable rules — including, as appropriate, its Consumer Arbitration Rules and Mass Arbitration Supplementary Rules. If there is a conflict between this Arbitration Agreement and the AAA Rules, this Arbitration Agreement will govern. The AAA’s rules are available at http://www.adr.org/. The arbitration will be conducted in the English language by a single independent and neutral arbitrator. For any in-person hearing, you agree that the hearing will be conducted in the largest city in your state within 100 miles of where you live. If the arbitrator determines that your claim was frivolous or brought for an improper purpose, you shall reimburse us for any costs or fees we paid on your behalf. The arbitrator’s decision will be final and binding. Judgment on the arbitral award may be entered in any court of competent jurisdiction.

(d) Individual Claims Only. WE EACH AGREE THAT ALL CLAIMS WILL BE RESOLVED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION OR ARBITRATION. IF FOR ANY REASON A CLAIM PROCEEDS IN COURT RATHER THAN IN ARBITRATION, WE EACH WAIVE ANY RIGHT TO A JURY TRIAL AND AGREE THAT SUCH CLAIM WILL BE BROUGHT ONLY IN THE STATE OR FEDERAL COURTS LOCATED IN CHARLOTTE, NORTH CAROLINA. YOU HEREBY SUBMIT TO THE PERSONAL JURISDICTION AND VENUE OF SUCH COURTS AND WAIVE ANY OBJECTION ON THE GROUNDS OF VENUE, FORUM NON-CONVENIENS, OR ANY SIMILAR GROUNDS WITH RESPECT TO ANY SUCH CLAIM.

(e) Limitations Period. ANY CAUSE OF ACTION OR CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE MUST BE COMMENCED WITHIN ONE (1) YEAR AFTER THE CAUSE OF ACTION ACCRUES; OTHERWISE, SUCH CAUSE OF ACTION OR CLAIM IS PERMANENTLY BARRED.

(f) Equitable Relief. Notwithstanding anything to the contrary, HINT may seek injunctive relief and any other equitable remedies from any court of competent jurisdiction to protect our intellectual property rights, whether in aid of, pending, or independently of the resolution of any dispute pursuant to the arbitration procedures set forth in this Section.

17.3 Class Action/Jury Trial Waiver

BY ENTERING INTO THESE TERMS, YOU AND HINT EACH WAIVE THE RIGHT TO A TRIAL BY JURY AND THE RIGHT TO BRING, JOIN, OR PARTICIPATE IN ANY PURPORTED CLASS ACTION, COLLECTIVE ACTION, PRIVATE ATTORNEY GENERAL ACTION, OR OTHER REPRESENTATIVE PROCEEDING OF ANY KIND AS A PLAINTIFF OR CLASS MEMBER. THIS WAIVER APPLIES TO ALL USERS — BOTH NATURAL PERSONS AND ENTITIES — REGARDLESS OF WHETHER YOU HAVE OBTAINED OR USED THE SERVICE FOR PERSONAL, COMMERCIAL, OR OTHER PURPOSES. THIS CLASS ACTION/JURY TRIAL WAIVER APPLIES TO CLASS ARBITRATION AND, UNLESS WE AGREE OTHERWISE, THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON’S OR ENTITY’S CLAIMS. THE ARBITRATOR MAY AWARD RELIEF ONLY TO AN INDIVIDUAL CLAIMANT AND ONLY TO THE EXTENT NECESSARY TO PROVIDE RELIEF ON YOUR INDIVIDUAL CLAIM(S). ANY RELIEF AWARDED MAY NOT AFFECT OTHER USERS.

18. Export Controls

You understand and acknowledge that the Service may be subject to export control laws and regulations. You will comply with all applicable import, export, and re-export control and trade and economic sanctions laws and regulations, including: the Export Administration Regulations maintained by the U.S. Department of Commerce; trade and economic sanctions maintained by the U.S. Treasury Department’s Office of Foreign Assets Control (“OFAC”); and the International Traffic in Arms Regulations maintained by the U.S. State Department.

You represent and warrant that neither you nor any person to whom you make the Service available — nor any person acting on your behalf — is: (a) listed on the List of Specially Designated Nationals and Blocked Persons or any other list of sanctioned, prohibited, or restricted parties administered by OFAC or any other governmental entity; or (b) located in, a national or resident of, or a segment of the government of, any country or territory for which the United States maintains trade or economic sanctions or embargoes, or that has been designated by the U.S. Government as a “terrorist supporting” region.

19. General Provisions

19.1 Assignment

These Terms, and any rights and licenses granted under them, may not be transferred or assigned by you without our prior express written consent, but may be assigned by us without restriction. Any attempted transfer or assignment in violation of this Section is null and void.

19.2 Notification Procedures and Changes to These Terms

We may provide notifications to you, whether required by Applicable Law or for marketing or other business purposes, via email, written or hard-copy notice, or by posting notice on the Site(s) and/or App(s), as we determine in our sole discretion. You may opt out of certain means of notification as required by Applicable Law or as described in these Terms. We are not responsible for any automatic filtering you or your network provider may apply to email notifications we send to your provided email address.

We may modify or update these Terms from time to time, and you should review this page periodically. When we make material changes, we will update the “Last Modified” date at the top of this page and notify you of the material changes. These Terms apply to and govern your access to and use of the Service from the start of your access. Your continued use of the Service after any change to these Terms constitutes your acceptance of the revised Terms. If you do not agree to any part of these Terms or any future Terms, do not access or use the Service.

19.3 Entire Agreement; Severability

These Terms, together with any amendments and any additional agreements you may enter into with us in connection with the Service, constitute the entire agreement between you and us concerning the Service. Any statements or comments made between you and any of our employees or representatives are expressly excluded from these Terms and will not apply to you or us. Except as otherwise stated in the Arbitration Agreement, if any provision of these Terms is deemed invalid by a court of competent jurisdiction, the invalidity of that provision will not affect the validity of the remaining provisions, which will remain in full force and effect.

19.4 No Waiver

No waiver of any term of these Terms will be deemed a further or continuing waiver of that term or any other term. Our failure to assert any right or provision under these Terms will not constitute a waiver of such right or provision.

19.5 California Residents

If you are a California resident, in accordance with Cal. Civ. Code § 1789.3, you may report complaints to the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs by contacting it in writing at 1625 North Market Blvd., Suite N 112, Sacramento, CA 95834, or by telephone at (800) 952-5210 or (916) 445-1254.
